Terms of Service

These Terms govern access to Manuseek’s business document search, connector, administration, and related services. “Customer” means the company or organization accepting these Terms, and “Authorized User” means a person Customer permits to use its workspace. By creating an account, accepting an invitation, installing a connector, or purchasing setup, you agree to these Terms for yourself and, when applicable, Customer.

Business eligibility and authority

Manuseek is intended for business use by people who are at least 18. You represent that your information is accurate and that you have authority to accept these Terms and connect content on Customer’s behalf. The service is not directed to children.

The service

Manuseek lets Customer install connectors, index sources Customer selects, search indexed information, preview or open supported documents, and administer users and access. Results depend on source availability, connector configuration, indexing, and permissions. Manuseek does not guarantee that every file will be indexed, every result will be complete or current, or the service will be uninterrupted.

Customer content and instructions

Customer retains ownership of its files, document text, metadata, search queries, and other content. Customer grants Manuseek a limited right to process that content only to provide, secure, maintain, and support the service and as required by law. Customer is responsible for selecting sources and users, configuring access, maintaining lawful notices and permissions for personnel, and ensuring it has the right to process all connected content.

Do not connect regulated health information, payment-card data, government-classified information, export-controlled technical data, or other information requiring a specialized agreement unless Manuseek has expressly agreed in writing to support it. The Data Processing Terms are incorporated when Manuseek processes personal data for Customer.

Accounts and security

Users must safeguard passwords, authenticator devices, recovery codes, invitations, and connector credentials. Customer must promptly remove people who should no longer have access and notify Manuseek of suspected compromise. Company administrators can manage users, permissions, connectors, and—when enabled—workspace search audit records.

Fees, setup, and refunds

The checkout currently presents a one-time workspace setup charge and does not create a recurring subscription. The total price and currency are shown before payment. The setup fee covers automated workspace provisioning and becomes non-refundable once the workspace is provisioned, except where applicable law requires otherwise or Manuseek agrees in writing. Report a failed or duplicate charge promptly. Taxes imposed on Customer’s purchase are Customer’s responsibility unless Manuseek is legally required to collect them.

Acceptable use

You may not use Manuseek unlawfully; access content without authorization; defeat permissions or security controls; share credentials; probe or disrupt the service except under written security-testing authorization; introduce malicious code; scrape or resell the service; or use it to infringe privacy, confidentiality, intellectual-property, or other rights. Manuseek may suspend access reasonably believed to threaten the service, another customer, or the law.

Confidentiality

Each party will use the other party’s non-public information only for this relationship, protect it using reasonable care, and disclose it only to personnel and providers who need it and are subject to confidentiality obligations. These duties do not apply to information lawfully public, independently developed, or rightfully received without restriction. Legally compelled disclosure may be made after notice when legally permitted.

Third-party services

Payment processing is provided by Stripe and hosting infrastructure may be provided by Microsoft Azure. Those providers process information under their own terms and privacy commitments. Customer is responsible for third-party sources it connects to Manuseek.

Intellectual property

Manuseek and its software, interface, documentation, and branding are owned by Manuseek or its licensors. Subject to these Terms, Customer receives a limited, non-exclusive, non-transferable right to use the service internally. No rights to Customer content are transferred other than the limited processing permission above.

Disclaimer

To the maximum extent permitted by law, the service is provided “as is” and “as available.” Manuseek disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Manuseek is a document-search service and does not provide legal, compliance, tax, investment, or financial advice. Search results should be verified against authoritative source documents.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenues, goodwill, or data. Manuseek’s aggregate liability arising from the service will not exceed the greater of $100 or the amount Customer paid Manuseek during the twelve months before the event giving rise to the claim. These limitations do not apply where applicable law does not permit them.

Termination

Customer may stop using the service and request account deletion through available account controls. Manuseek may suspend or terminate access for material breach, security risk, unlawful use, or nonpayment after reasonable notice when circumstances permit. Upon termination, Customer should export needed account information and disconnect its connectors. Legal, payment, confidentiality, intellectual-property, disclaimer, liability, and dispute provisions survive as applicable.

Changes and notices

Material changes will be posted with a new effective date and, when appropriate, presented for renewed acceptance. These Terms, the Privacy Policy, Data Processing Terms, and any written order form form the agreement; an order form controls if it expressly conflicts.

Contact and disputes

Before filing a claim, send a description to Manuseek support and allow 30 days for a good-faith response. Nothing here eliminates rights or remedies that cannot legally be waived.
